Company Secretary (Melbourne)

About the role:

We are looking for an exceptional Company Secretary in our Melbourne office. The key purpose of this role is to support the board of ASX-listed EQT Holdings Limited, its Registrable Superannuation Entity boards, Responsible Entity boards, and to manage the ongoing compliance and continued improvement of the Group’s corporate governance framework, including the Group’s offshore operations.  

Key Responsibilities include:

  • Responsible for the efficient management of the Group’s Board and Committee meetings, ensuring there is a robust record-keeping system.
  • Key contact internally for governance.
  • Primary contact with the ASX, ASIC, the Company’s Registry, and the Company’s electronic board service provider.
  • Managing the Group’s Secretariat Team and an active member of the Group’s leadership team.
  • Undertake governance and corporate compliance due diligence as required.
  • Develop good governance frameworks and delegations of authority.
  • Assist the senior executive and directors in meeting their compliance obligations.

What you'll need to succeed:

  • Tertiary qualifications in Business/Law. (Post graduate qualifications in financial services/products, or governance viewed favourably).
  • Chartered Secretary Designation.
  • Member of the Governance Institute of Australia and/or UK Institute of Chartered Secretaries.
  • Track record of at least ten years achievement in the role of Company Secretary with an ASX listed company (preferably in the financial services industry).
  • Track record of implementing and managing whole-of-company governance systems.
  • Expert knowledge of the Corporations Act, Superannuation Industry (Supervision) Act, and APRA Prudential Standards as related to boards, governance, corporate administration, and trustee obligations.
  • Expert knowledge of the ASX Listing Rules, ASX Corporate Governance Principles, and managing shareholder disclosure requirements.
  • Proven ability to work in a collegiate environment and within time constraints.
  • Proven ability to attract, motivate, manage and retain high calibre staff and to manage the various functions of the Company Secretariat.
  • A commitment to ensuring the company adopts ethical standards in all its operations.
  • Ability to maintain professional discretion and influence stakeholders.
  • Highly developed verbal and written communication skills, including proven ability to develop and present detailed reports to Executive Management and to the Board.
  • Exceptional leadership skills and team management.
  • Proven experience in internal/external audits and understanding of compliance measures.
  • Ability to effectively develop, maintain and improve all internal and external stakeholder relationships.
  • Ability to take responsibility for accountabilities, providing high quality and timely results while offering flexibility and a proactive approach.
  • Self-motivated with the ability to work to deadlines, manage priorities and makes decisions at the appropriate level.
  • Highly developed organisational skills and continuous improvement mindset.
