Assistant Company Secretary (Melbourne)

About the role:

We are looking for an exceptional Assistant Company Secretary in our Melbourne office. The key purpose of this role is to support the Company Secretary (CS) by providing high quality, timely and effective company secretarial support and corporate governance advice to the Equity Trustees Group. 

The role is responsible for administering and managing meetings of subsidiary companies of the Equity Trustees Group and their sub-committees, and may also involve a range of other activities and support to the CS, as requested, including support to the parent entity Board and its sub-committees, external governance reporting governance-related projects, facilitating fund and corporate audits and the Annual General Meeting.

Some of the key responsibilities include:

  • Support the CS in administering the company secretariat to ensure good governance and legal compliance (eg. financial services law, corporations law, ASX Listing Rules.)
  • Manage meetings of subsidiary companies and ensure statutory compliance per APRA, ASIC, ACNC and ASX obligations.
  • Prepare draft ASX announcements for the Holdings company, this may include substantive or statutory announcements. Appendix 3B, 3Y, 3A.1
  • Maintain currency of company records as well as information on Diligent and the Governance intranet page, according to Company Secretariat processes and record-keeping systems.

What you'll need to succeed:

  • At least 5 years’ experience in a similar role or role with similar complexity
  • Track record of developing, building and maintain strong relationships with the business to enhance commercial acumen.
  • Consistently looks for ways to do things more effectively and efficiently and develops creative solutions to everyday challenges.
  • Working knowledge of the Corporations Act 2001 (Cth), ASX Listing Rules, ASX Corporate Governance Principles and Recommendations
  • Excellent time management and organisational skills, with the ability to manage and meet a multitude of regulatory and other deadlines
  • Thorough understanding of the necessity to maintain meticulous records and adhere to critical reporting deadlines.
  • Lots of enthusiasm, creativity and a “can do” attitude.
  • Strong communication skills and ability to be proactive and liaise with stakeholders across the organisation.
  • Ability to thrive in a fast-paced environment.
  • Excellent attention to detail, with strong problem solving skills.
  • Ability to work autonomously and in a team.
  • Prior experience working in an environment which requires confidentiality.
